Location-Based Service Terms

Underpin, Inc. (the “Company”) establishes these Location-Based Service Terms (the “Terms”) in connection with the location-based features and services provided in the KLATOO Service, in accordance with applicable law.

Article 1 (Purpose)

These Terms set forth the rights, obligations, responsibilities, and other necessary matters between the Company and users (the “Users”) who use the location-based services.

Article 2 (Effectiveness and Amendment)

1. These Terms become effective when a User agrees to them through the Service and is registered as a user of the location-based services under the Company’s procedures. 2. The Company may amend these Terms to the extent permitted by applicable law and will notify Users of the effective date and key changes at least seven (7) days in advance through in-Service notices or other appropriate means. 3. If an amendment materially affects Users’ rights or obligations, the Company will provide notice at least thirty (30) days in advance in the same manner as set forth in Paragraph 2. 4. The Company will provide notices required under applicable law.

Article 3 (Governing Rules)

Matters not specified in these Terms are governed by applicable law, as well as the Company’s Privacy Policy, Service Terms, and operational policies (guidelines).

Article 4 (Description of Services)

Using a User’s current location or regional information that includes the current location, which may be collected by the Company or provided by third parties, the Company may provide the following location-based services: 1. Providing or recommending search results and content utilizing location information 2. Providing convenience features such as location sharing, location/region-based notifications, and route guidance 3. Geotagging for classifying location-based content 4. Providing location-based targeted advertisements (only where the User has consented)

Article 5 (Fees)

1. The location-based services are provided free of charge in principle. 2. However, data communication charges incurred while using the location-based services are borne by the User in accordance with the User’s mobile carrier policies.

Article 6 (Restriction or Suspension)

1. The Company may restrict, change, or suspend all or part of the location-based services in the following cases: 1) Where service provision is difficult due to third-party reasons such as policy changes or failures of a location information provider 2) Where there are technical reasons such as inspection, maintenance, replacement, failure of facilities, or communication disruptions 3) Where there are force majeure events such as natural disasters or national emergencies 4) Where otherwise necessary for reasonable operational reasons of the Company 2. If the Company restricts, changes, or suspends the services, it will notify Users in advance through in-Service notices or other appropriate means; provided that in urgent or unavoidable circumstances, notice may be given after the fact.

Article 7 (Rights of Users Regarding Personal Location Information)

1. Users may withhold consent, in whole or in part, to the collection, use, and sharing of personal location information at any time. 2. Users may withdraw consent, in whole or in part, at any time. In such case, the Company will promptly delete personal location information within the withdrawn scope and records required by applicable law, unless retention is required by applicable law. 3. Users may request a temporary suspension of the collection, use, and sharing of personal location information, and the Company may not refuse such request to the extent required by applicable law. 4. Users may request access to or notice of the following materials, and may request correction if there are errors. The Company will not refuse such requests without justifiable reasons: 1) Records regarding the collection, use, and sharing of location information relating to the User 2) The reasons and details where the User’s personal location information was shared with a third party under applicable law 5. Users may exercise their rights by contacting the Company using the contact information in Article 15.

Article 8 (Use or Sharing of Personal Location Information)

1. Where the Company uses personal location information to provide location-based services, it will notify Users in advance and obtain consent as required under applicable law. 2. The Company will not share personal location information with third parties without User consent, except where permitted or required by applicable law. 3. Where the Company shares personal location information with a third party designated by the User, it will notify the User each time of the recipient, time of sharing, and purpose via the device that collected the personal location information or a method provided by the Company, to the extent required by applicable law. 4. In any of the following cases, the Company may notify via a device, email address, online posting, or other means specified in advance by the User: 1) Where the device that collected the personal location information does not have the function to receive text, voice, or video 2) Where the User has requested in advance to be notified via another device or email address rather than the device that collected the information 5. The Company records and retains materials related to the collection, use, and sharing of location information as required under applicable law.

Article 9 (Purpose and Retention Period)

1. The Company may process personal location information to provide location-based services. The specific purposes and retention/processing periods are set forth in the Privacy Policy. 2. The Company retains personal location information only within the period required by applicable law or within the scope of User consent, and deletes it without delay upon achievement of the purpose or expiration of the retention period, unless retention is required by applicable law.

Article 10 (Rights of Legal Representatives)

For Users under the age threshold specified by applicable law, the Company may obtain consent from the User’s legal representative where required for providing location-based services using personal location information and/or sharing such information with third parties. In such case, the legal representative may exercise the User’s rights under Article 7.

Article 11 (Rights of Custodians for Children Under 8, etc.)

1. Where permitted under applicable law, if a custodian (the “Custodian”) consents to the use or sharing of personal location information to protect the life or body of certain protected persons (e.g., children under a specified age, adults under guardianship, or certain persons with disabilities), such consent may be treated as the consent of the data subject. 2. A Custodian who wishes to consent may be required to submit a written consent form to the Company along with documents proving custodianship, as required by applicable law. 3. Where a Custodian consents, the Custodian may exercise the data subject’s rights under Article 7 to the extent permitted by applicable law.

Article 12 (Damages)

If the Company violates applicable law relating to location information and a User suffers damages, the User may claim damages from the Company. The Company may not be exempted unless it proves the absence of intent or negligence, where such standard applies under applicable law.

Article 13 (Disclaimer)

1. The Company is not liable for damages suffered by Users if the location-based services cannot be provided due to any of the following: 1) Force majeure such as natural disasters or equivalent events 2) Intentional interference by a third party 3) Service disruption attributable to the User 4) Other causes without the Company’s intent or negligence 2. The Company does not warrant the reliability or accuracy of the location-based services or information/materials posted therein, and is not liable for damages arising therefrom, to the extent permitted by applicable law.

Article 14 (Dispute Resolution and Miscellaneous)

1. The Company will consult with Users in good faith to resolve disputes related to location information. 2. If disputes are not resolved through consultation, the parties may seek dispute resolution through competent authorities or dispute mediation bodies available under applicable law.

Addendum
